About the Business Organizations Code Committee

The Business Organizations Code Committee was formed in 1995 for the purpose of organizing and drafting a substantive codification of Texas business entities statues. The codification involves reorganizing, modernizing, simplifying, restating and clarifying existing law in this area. This task was completed in 2003 through the passage of the Texas Business Organization Code.

The Business Organizations Code Committee is continuing to review the Business Organizations Code to identify any problems, errors, and glitches that may need fine tuning in the 2007 Texas Legislature. As a result of these activities, the Committee expects that it will be drafting some amendments to the Code in anticipation of the 2007 Texas Legislature. The Committee also intends to work with the Corporation Law Committee and the Partnership and Limited Liability Company Law Committee to review any amendments to the Code that those other Committees may draft. Finally, the Committee is starting work on its Committee Report with an intent of providing written commentary on the Code for publication.
